Terms of Service

These terms govern your use of Concave Intel (the “Service”), available at www.concaveintel.com and its API, operated by Whypred Pty Ltd(ABN 93 674 284 327) (“we”, “us”). By creating an account or using the Service you agree to these terms. If you use the Service on behalf of an organisation, you confirm you have authority to bind it.

1. The Service

The Service provides search, matching, classification and analytics over Australian business register data, through a web interface and an API. We may change, suspend or discontinue features at any time. Free-tier limits and paid-plan entitlements are described on the pricing page.

2. Data sources and accuracy

Register fields (ABN, entity name, status, GST registration, state, postcode) are derived from the Australian Business Register bulk extract, © Commonwealth of Australia, licensed under CC-BY 3.0 AU, and are reproduced as published. Industry (ANZSIC) labels, match scores and similar fields are predictions generated by us and are not official ABR or ABS data. The Service is provided for information and decision support only. You must not rely on it as the sole basis for any legal, credit, compliance or regulatory decision, and you should verify material facts with the primary source.

3. Accounts and security

You are responsible for your account credentials and API keys and for all activity under them. Keep keys confidential, do not share accounts, and tell us promptly at info@whypred.com if you suspect unauthorised use.

4. Acceptable use

You agree not to:

  • scrape, crawl or bulk-extract the web interface, or circumvent rate limits, quotas or access controls;
  • resell, sublicense or redistribute the Service or substantial portions of its output as a competing data product;
  • use the Service to compile profiles of individuals, or for any purpose that breaches the Privacy Act 1988 (Cth), the Spam Act 2003 (Cth) or other applicable law;
  • use the Service for unlawful, misleading or harassing purposes, or to infringe the rights of others;
  • interfere with the Service's operation or attempt to access systems or data you are not authorised to access.

Bulk and programmatic access is provided through the API on the applicable plan.

5. API terms

API access is subject to the rate limits and row quotas of your plan. Output must carry the ABR attribution supplied in API responses where it is displayed publicly. We may revoke keys that are abused or compromised.

6. Plans, payment and cancellation

Paid plans are billed in advance by subscription through our payment provider, Stripe, in Australian dollars including GST where applicable. You may cancel at any time; access continues to the end of the paid period and fees already paid are non-refundable except where required by law. We may change prices with at least 30 days' notice before they take effect on renewal.

7. Intellectual property

We own the Service, its software, models, labels, match scores and derived datasets. Register data remains subject to the Commonwealth's CC-BY 3.0 AU licence. You retain ownership of the names and lists you upload; you grant us a licence to process them solely to provide the Service to you.

8. Australian Consumer Law and liability

Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot be excluded. Otherwise, to the maximum extent permitted by law, the Service is provided “as is”, we exclude all implied warranties, and our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim (or, where liability cannot be so limited, to re-supplying the Service). We are not liable for indirect or consequential loss, including lost profits, business or data.

9. Suspension and termination

We may suspend or terminate access for breach of these terms, non-payment, or where required by law. You may close your account at any time. Clauses that by their nature should survive (including 2, 7, 8 and 11) survive termination.

10. Changes to these terms

We may update these terms; the “last updated” date above will change and material changes will be notified via the Service or by email. Continued use after the effective date is acceptance.

11. Governing law

These terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts.
